Bidders' Conditions of Business
GENERAL
The following conditions ("Conditions") together with such other terms, conditions and notices as may be set out in any relevant catalogue apply to all sales by RM at auction or to any retail sale. It is the intention of RM that all terms between it and the Seller and the Buyer are contained in the Conditions.
No alteration to the Conditions will be binding unless accepted by RM in writing. The Conditions are subject to amendment by RM provided it is reasonable for it to do so by the posting of notices or by oral announcement made by the Auctioneer prior to or during the sale. Nothing in the Conditions shall affect the statutory rights of a consumer.
1. DEFINITIONS IN THESE CONDITIONS
The following terms shall have the meanings indicted below:
1.1 Auction: the auction sale in respect of which a Lot is consigned for sale.
1.2 Consignment Contract: the agreement to be completed by the Seller relating to the proposed sale of each separate Lot at the Auction.
1.3 Auctioneer: the representative of RM conducting the Auction.
1.4 Buyer: the person to whom a Lot is knocked down by the Auctioneer.
1.5 Catalogue: any advertisement, brochure, estimate, price list or other publication relating to one or more Lots for sale at Auction.
1.6 Expenses: in relation to the sale of any Lot, RM’s charges and expenses including insurance, storage, illustrations, auction entry fee, photography costs, cataloguing costs, special advertising, packing and freight of that Lot and any VAT thereon.
1.7 Hammer Price: the price in the currency used during the Auction at which a Lot is knocked down by the Auctioneer to the Buyer.
1.8 Lot: any item(s) consigned with a view to its or their sale at Auction.
1.9 Buyer’s Premium: the amount payable by the Buyer to RM equal to 12% of the Hammer Price for Motor Vehicle Lots and 17% of the Hammer Price for other Lots, together with the VAT thereon.
1.10 Purchase Price: the Hammer Price together with the Buyer’s Premium and any VAT thereon, Expenses and any additional charges due.
1.11 Reserve: the minimum Hammer Price agreed between RM and the Seller at which a Lot may be sold.
1.12 RM: RM Auctions Italia Srl, situated at Via Conservatorio n. 6, Milan (MI), 20122, Italy (co. reg. no. 02863930984).
1.13 Sale Proceeds: the net amount due to the Seller being the Hammer Price less the Seller’s Commission, any VAT thereon, Expenses and any other amount due to RM from the Seller.
1.14 Seller: the person who offers the Lot for sale, granting a mandate to RM for that purpose.
1.15 Seller’s Commission: the amount that the Seller shall pay to RM equal to 10% of the Hammer Price for Motor Vehicle Lots and 15% of the Hammer Price for other Lots, together with the VAT thereon.
1.16 VAT: Value Added Tax applicable at the prevailing rate.
1.17 Catalogue Estimate: the valuation of the Lot on sale at Auction. The valuation may be followed by information such as basic price or minimum bid, or best offer, when the Lot may be sold to the highest bidder without any minimum bid or reserve. The descriptions indicated represent an opinion and are for information only and, as such, RM is in no way liable for same.
1.18 Knockdown: the process of awarding the Lot on sale at Auction to the highest bidder, subject to the terms and conditions as set forth herein on the transfer of ownership and title.
1.19 Governing Law: Italian law.
2. RM AS AGENT
2.1 Each Vendor has appointed as his agent RM, who accepts, instructing RM to sell the Lot on his behalf and in his interests, in accordance with the Conditions agreed herein, as described in more detail in the consignment agreement made between the parties. In addition, the Vendor acts without assumption of any further liability or responsibility on the part of RM save those deriving from the received mandate de quo.
3. CLASSIFICATION OF LOTS AND PARTIES
3.1 The Lot(s) consigned to this Auction shall be considered as used goods supplied as antiques and, as such, cannot be classified as a product according to the definition given in Article 3(e) of the Italian Consumer Code (Legislative Decree No. 206 of 6.9.2005), with all the consequences ex lege and ex contractu.
4. LOSS OR INJURY
4.1 RM shall be under no liability for any injury, damage or loss sustained by any person while on RM’s premises (including any premises where a sale may be conducted or where a Lot, or part of a Lot, may be on view from time to time).
4.2 RM is not liable towards the Seller or the Buyer in the event of any damage, destruction, loss and/or theft wholly or in part of the Lot unless such events are due to the serious misconduct and/or malicious actions of RM and/or its employees. Likewise, RM is not liable towards the Seller or Buyer for any personal injury that might derive from the Lot, unless such events are due to serious misconduct and/or malicious actions of RM and/or its employees.
4.3 In any case the Seller shall indemnify and hold harmless RM from any claim for compensation or court claim that it might receive from the Buyer in relation to the aforementioned cases (in other words, in the event of damage, destruction, loss and/or theft wholly or in part of the Lot and or personal injury), without prejudice to RM’s right to take action against same for the complete restoration of all damage caused thereto. In the event of damage, destruction, loss and/or theft wholly or in part of the Lot of any kind whatsoever and caused by any person, the Seller shall immediately arrange to rectify same at its own expense.
4.4 Unless otherwise agreed between the Seller and RM, then RM is under no obligation regarding the safekeeping of the Lot(s) on sale at Auction, with all the consequences ex lege and ex contractu.
5. AUCTION PROCEDURE
5.1 The Auction will be preceded by an exhibition at which the Auctioneer and/or other representatives of RM will be onsite in order to clarify any errors or inaccuracies contained in the Catalogue. Potential bidders will also have the opportunity to examine the condition and equality of the Lots on display. All Lots are sold “as seen.”
5.2 All bidders are required to register, upon presentation of a government-issued identity document and completion in full of a bidder registration form. No one will have the right to bid without first fulfilling these conditions. Potential bidders should also read carefully the Buyers Information listed in the auction Catalogue. Auction participation is personal. The possible participation in the name and on behalf of third parties must be previously and expressly authorized in writing by RM, which shall have the right to require prior submission of a notarized power of attorney and the appropriate bank references or other guarantees.
5.3 The Auctioneer shall commence the bidding at a level which he considers appropriate in relation to the Lot and competing offers. All Lots will be sold without a reserve price, unless approved in writing by RM before commencing the Auction as per the terms set out in Condition 6. The Auctioneer may make autonomous bids on behalf of the Seller up to the agreed-upon Reserve Price, according to the terms pre-approved by RM. RM, in the person of the Auctioneer, is entitled, at its absolute and sole discretion to:
• refuse any bid from potential buyers;
• divide a Lot, even if only from a commercial point of view;
• combine and/or consolidate two or more Lots;
• withdraw a Lot if the auction bids do not reach the Reserve Price agreed with the Seller, where applicable;
• in case of a dispute, to re-auction the Lot during the same session, based on the last bid received, and to vary the original order of sale; with the Seller hereby giving his ratification and approval.
THE BUYER’S CONDITIONS
6. FEES AND TAXES
6.1 In order to register to bid at auction, bidder’s must pay a €100.00 (EUR) bidder registration fee.
6.2 The final bid price does not include the buyer’s premium or VAT on each lot purchased. Bidders are responsible for any duty costs noted or announced which are associated with their purchase. International bidders must pay any and all import duties that are due upon the import of the lot to its final destination.
7. PAYMENT
7.1 A contract of sale is made between the Seller and the Buyer on the acceptance of a bid by the fall of the Auctioneer’s hammer. RM is not a party to the contract of sale and has no liability for any act or default by the Seller or the Buyer.
7.2 Full payment for all Lots shall be made to RM via bank draft or telegraphic transfer in Euros or the currency used for the Auction by 5:00 p.m. the next business day. Where the Buyer wishes to pay by cheque supported by a Letter of Guarantee from the Buyer’s bank and RM has agreed that the Buyer may do so, the Lot will not be released until the cheque has been cleared. Should the Buyer wish to pay by bank draft, the payment in question is accepted by RM only after positive and preventive checks with the issuing bank.
7.3 No Lot may be collected until the Purchase Price has been received in full by RM. Payments by a Buyer to RM may be applied by RM towards any such sums due from that Buyer to RM on any account whatsoever notwithstanding any directions to the contrary by the Buyer or his agent whether express or implied.
7.4 The Lot will be transferred to the Buyer only after RM has received the total amount of payment, as mentioned above. The parties agree that title to the Lot will pass to the Buyer only when the Purchase Price in cleared funds has been received by RM, and until this time, the Seller shall remain liable for the risk of damage, destruction, loss and/or theft wholly or in part of the Lot.
8. LIABILITY OF RM AND THE SELLER
8.1 It is the sole responsibility of the Buyer to inspect the Lot before bidding and ensure the accuracy of its description as given in the auction Catalogue as well as in any brochures and any other illustrative material, and if necessary, to provide at his expense an inspection by his own expert to check ownership, attribution, authenticity, characteristics, the time of production of the car and the individual components, sourcing, restoration and reliability of the Lot. In any case, RM has no obligation either towards the Seller or towards the Buyer to check the accuracy of the description for and on behalf of the Seller.
8.2 Any reference to “mileage” and/or “mileage reached” in the auction Catalogue as well as in any brochures and any other illustrative material is based on the odometer reading of the motor vehicle and may not reflect on the actual distance covered by the motor vehicle.
8.3 Without prejudice to the liability of the Seller referred to in the above conditions, it will be the exclusive obligation and responsibility of the Buyer to make sure that each vehicle bought at the Auction complies with all applicable regulations related to driving, use, transit by road or transport and that all relevant documentation is valid and complies with relevant legislation.
8.4 The Buyer will also be solely responsible for obtaining any export license that may be required in connection with the Lots purchased, resulting in a waiver of any liability of RM in this regard. The failure to issue or delay in the issuance of any license does not constitute cause for termination or cancellation of the sale, nor does it justify the delay in payment by the Buyer of the total amount due.
8.5 Any statements made by RM, its employees or its representatives regarding the authenticity, provenance, origin, conditions, status and quality of the Lot(s) represent only the information given to RM by the Seller.
9. GOVERNING LAW AND JURISDICTION
9.1 These terms and conditions shall be governed exclusively by Italian law.
9.2 Any dispute that should arise in connection with the application, interpretation and performance of these general terms and conditions and/or the Consignment Contract between RM and the Seller shall be subject to the exclusive and mandatory jurisdiction of the courts of Brescia.
10. PRIVACY AND MISCELLANEOUS
10.1 Pursuant to Legislative Decree No. 196/2003 [as subsequently amended], the Client is informed that the data collected will be processed electronically by RM Auctions Italia Srl for the purpose of discharging payment obligations, for management, fiscal, accounting and legal requirements, and for the promotional purposes of RM. The Client consents, in accordance with the applicable legislation, to said data being disclosed and transferred to companies in the RM Auctions group, including those in foreign countries. The data controller is RM Auctions Italia Srl, based at Via Conservatorio n. 6, Milan (MI), 20122, Italy (co. reg. no. 02863930984).
10.2 Any amendment to these Conditions shall only take effect unless accepted by RM in writing, with a specific indication of the manner in which it replaces the previous clause.
11. CURRENCY CLAUSE
11.1 RM Auctions Italia Srl may use a currency display in the saleroom for informational purposes only. The currencies listed on the currency converter are not real-time conversions pegged to market rates and are not to be relied on by anyone. Errors and inaccuracies may occur in the operation of the currency converter. To be clear, the bid price stated by the Auctioneer is the prevailing and binding bid price.
12. TECHNOLOGY CLAUSE
12.1 Online Services are “as is” and “as available.”
12.2 Bidders may be able to bid via websites, telephone services, applications, and tools (collectively “Services”).
12.3 RM Auctions Italia Srl tries to keep the Services safe, secure, and functioning properly, but RM Auctions Italia Srl cannot guarantee the continuous operation of or access to the Services.
12.4 Bidders agree that they are making use of the Services at their own risk, and that they are being provided to bidders on an “AS IS” and “AS AVAILABLE” basis. Accordingly, to the extent permitted by applicable law, RM Auctions Italia Srl excludes all express or implied warranties, terms, and conditions including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In addition, to the extent permitted by applicable law, RM Auctions Italia Srl (including any parent, subsidiaries, affiliates, officers, directors, agents, and employees) are not liable, and bidders agree not to hold RM Auctions Italia Srl responsible, for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from:
• the inability to use RM Auctions Italia Srl’s Services;
• Pricing, shipping, or other guidance provided by RM Auctions Italia Srl;
• Delays or disruptions in RM Auctions Italia Srl’s Services;
• Viruses or other malicious software obtained by accessing, or linking to, the Services;
• Glitches, bugs, errors, or inaccuracies of any kind in the Services;
• Damage to any hardware device from the use of any RM Auctions Italia Srl’s Service;
• The content, actions, or inactions of third parties, including items listed using RM Auctions Italia Srl’s Services or the destruction of allegedly fake items;
• The duration or manner in which the listing appear in search results; or
• The need to modify practices, content, or behavior or the loss of or inability to do business, as a result of changes to this User agreement or RM Auctions Italia Srl’s policies.
13. BANK LETTER
13.1 Please note that in order to register to bid at an RM sale, RM requires that all bidders provide a Bank Letter of Guarantee. All Bank Letters of Guarantee must be written on bank letterhead.
14. CREDIT CARD HOLD
14.1 Please note that in order to register to bid at an RM sale, RM requires a €5,000.00 (EUR) hold be placed on your credit card. If you fail to pay for a lot purchased on or before 5:00 p.m. of the next business day following the auction, you acknowledge that your credit card will be charged €5,000.00 (EUR) for the missed payment; please note that you are still bound to pay your remaining balance. The €5,000.00 (EUR) hold will not be charged to your credit card if you make full payment on or before 5:00 p.m. of the next business day following the auction. If you do not purchase a lot, your credit card will not be charged. If your credit card is not to be charged, the €5,000.00 (EUR) hold will fall off your credit card within three to four business days depending on your credit card company.
15. REMOVAL OF PURCHASED LOTS
15.1 The Buyer, upon payment in full to RM of the Purchase Price, shall, at his own expense, remove the Lot no later than the end of the first business day following the Auction.
15.2 The bidder will be charged €300.00 (EUR) + VAT per lot for the removal of all purchased lots from the auction site to a secure storage facility. If the lot is not removed by May 26th, 2015, the bidder will be charged a storage fee of €20.00 (EUR) + VAT per day until RM receives full payment for the lot and transportation instructions.
15.3 In the event that the Buyer does not remove the Lot within the maximum period of thirty-five (35) days from the deadline referred to in Condition 9.1 above, RM may, at its sole discretion and without prejudice to the subject of other rights, offer the Lot for sale in a public or private auction, as well as offset the expenses and costs incurred in the meantime with the proceeds from the RM sale. Any surplus will then be charged to the Buyer who has not taken care to withdraw the Lot in accordance with these conditions.

THE SELLER’S CONDITIONS
6. WARRANTY BY THE SELLER
6.1 The Seller warrants to RM and to the Buyer that:
6.1.1 The Seller has every right to sell the Lot, which is free from any restriction, encumbrance, lien, prior registration and/or similar in favour of third parties;
6.1.2 The Lot is not the subject of any claim by the government or state or local authorities;
6.1.3 All requirements, procedures and formalities relating to the import and export of the Lot have been satisfied in accordance with the applicable legislation;
6.1.4 The authenticity, provenance, origin, conditions, state and quality of the Lot are as referred to in the documents proving the origin of the Seller’s title and/or any other rights to the Lot in question, which exists in the factual and legal state described therein, and the Seller possess and is entitled to possess same, in the knowledge that the data supplied has been published in the auction Catalogue;
6.1.5 The Lot is also accompanied by all documents, certificates and declarations proving that it is roadworthy in accordance with the applicable legislation, in addition to that of the country in which it is registered and the country of the Buyer (if different), or justifying the lack of roadworthiness of same;
6.1.6 The Seller shall not enter into any kind of negotiation with third parties concerning the Lot described in the Consignment Contract between the Seller and RM.
6.2 In the event of delay, non-conformity and/or non-observance of the aforementioned obligations, the Seller shall be liable for a fine as described in the Consignment Contract between the Seller and RM. In addition RM shall have the right to claim compensation for any other damages suffered. The Seller shall further arrange to compensate the Buyer in full for all damages claimed by it as a consequence of its contractual non-performance, holding RM harmless from any claim for compensation that the latter might make. This is without prejudice to the terms hereinafter.
6.3 In the event that the non-observance of the aforementioned obligations results in material defects and/or redhibitory defects and/or a lack of essential quality, RM may, at its sole discretion, before or after the sale of the Lot, require work to be carried out on same in order to make good the state and quality as originally guaranteed by the Seller, deducting the corresponding costs of the work from the amount due to the Seller, who shall therefore only receive the difference between the Sale Proceeds to which he was original entitled and the costs in question.
7. RESERVES
7.1 The Seller may place a Reserve on any Lot prior to its sale at Auction. In order to be valid, the Reserve, where applicable, must be agreed by RM in writing. Likewise, any modification of the Reserve must be formalized and accepted by RM in accordance with the aforementioned terms and conditions, including the time limit, failing which it shall not be effective.
7.2 All Lots shall therefore be sold without Reserve unless a Reserve has been agreed by RM in writing, in accordance with the aforementioned terms and conditions, including the time limit.
7.3 Where a Reserve is agreed RM reserves the right, at its sole discretion, to sell a Lot for less than the Reserve but shall account to the Seller as if the Lot had been sold for the Reserve.
7.4 If no Reserve has been placed on a Lot, RM shall in no way be held liable should the Lot be purchased for a price below any lowest estimated selling price of the Lot given in any Catalogue.
7.5 If no Reserve Price has been placed on a Lot, the Seller may not bid either personally or through a third party appointed and/or authorized for that purpose. Conversely, if a Reserve Price has been set, in accordance with the aforementioned terms and conditions, including the time limit, only RM may make bids for and on behalf of the Seller. In this case, the Auctioneer may award a Lot to the Seller without meeting the Reserve Price, but the Seller shall still pay RM all monies accruing thereto, such as the Seller’s Commission, Buyer’s Premium and any other expenses incurred thereby.
8. COMMISSION AND EXPENSES
8.1 Each Buyer shall pay a commission to RM for any Lot purchased at Auction equal to 12% of the Hammer Price plus applicable VAT for motor vehicles, or equal to 17% of the Hammer Price plus applicable VAT for all other Lots, as well as additional expenses and costs anticipated by RM in the interest of the Buyer and any other amounts payable by the Buyer to RM.
8.2 The Seller’s Commission is equivalent to 10% of the Hammer Price plus applicable VAT with reference to motor vehicle Lots and 15% of the Hammer Price plus applicable VAT with reference to all other Lots, as well as additional expenses and costs paid by RM other than those borne by the Buyer, and any other amount owed by the Seller to RM.
8.3 The Seller grants RM the right to charge a Buyer’s Premium paid by the Buyer and consequently to receive this amount directly from the Buyer, without being entitled to any rights and/or claim in relation to such amount.
8.4 Any amount owed by the Seller to RM may be extinguished wholly or in part by RM, at its sole discretion, by appropriating and/or retaining wholly or in part the Purchase Price of the Lot pursuant to and in accordance with Articles 1241 et seq. of the Italian Civil Code. 9
9. PHOTOGRAPHY AND ILLUSTRATIONS
9.1 RM does not accept any responsibility with regards to the conformity of the Lots on offer to photographs and illustrations that may be shown in the auction Catalogue, as well as brochures and any other artwork, as these images are intended to be purely representative.
9.2 At some Auctions there may be a video or digital screen, RM does not accept liability for any errors or discrepancies that may arise with the use of this imaging.
9.3 The copyright for all photographs taken and illustrations made of any Lot by or on behalf of RM shall be the absolute property of RM.
10. RM’S ESTIMATES AND DESCRIPTIONS
10.1 RM takes no responsibility for the description of the Lots included in this auction Catalogue, as well as in brochures and any other artwork. The descriptions of Lots and/or illustrations contained in Catalogue are merely indicative and may not generate any expectation on the part of the Buyer.
10.2 RM is therefore not liable to the Seller and the Buyer for any errors, omissions or incorrect wording in the description of any Lot in this Catalogue as well as in brochures and any artwork.
10.3 In any case, RM has no obligation either towards the Seller or towards the Buyer to check the accuracy of the description for and on behalf of the Seller.
11. UNSOLD LOTS
11.1 In the event of a Lot not being sold, RM, at its sole discretion, may place it on sale again by private treaty within thirty (30) days of the date of the unsuccessful and/or abandoned auction. If the Lot is then sold, RM shall pay the Seller an amount not less than that owed in the event of the Lot being sold at the Reserve Price during the unsuccessful and/or abandoned auction. Upon such sale by private treaty, all of the provisions contained in these terms and conditions shall apply, particularly with regard to the fees owed to RM, which shall therefore be due as if the sale to the third party took place by auction.
11.2 Except as described in Condition 11.1 above, the Seller shall be responsible for the removal of any of its Lots not sold by 1:00 p.m. on the day following the Auction or by such other time expressly agreed by RM. In any case, all unsold Lots must be removed by and no later than two (2) days from the closing date of the Auction.
11.3 The failure to recover an unsold Lot pursuant to Condition 11.1 above shall entitle RM to charge the Seller for all costs of removal, storage, safekeeping, insurance or similar incurred by the Seller in relation to the unsold Lot. In the event of non-observance of the maximum time limit specified above, the Seller shall be required to pay an amount by way of penalty of €50 per day of delay, pursuant to and in accordance with Article 1382 of the Italian Civil Code. RM may also claim compensation for any subsequent damages incurred.
11.4 If within thirty-five (35) days of the closing date of the Auction, the Seller has not given RM instructions concerning the disposal of the unsold Lot, RM shall have the exclusive right to sell the Lot in question by:
• private treaty, deducting from the selling price any amount owed to RM for the aforementioned reasons, or
• auction without Reserve Price, deducting from the Hammer Price any amount owed to RM for the aforementioned reasons.
12. PAYMENT OF SALE PROCEEDS
12.1 RM shall pay the Sale Proceeds to the Seller not later than thirty-five (35) days after the Auction, provided that the Purchase Price has been received in full by RM. Unless an alternative method of payment has been agreed by RM in writing, payment to the Seller shall be made by bank transfer, and all associated bank fees and costs the responsibility of the Seller. In the event of an unsettled hire purchase finance agreement or any other charge or lien affecting the Lot RM reserves the right to settle the amount due of such charges not exceeding the Sale Proceeds. If the Sale Proceeds are less than the charges outstanding, the Seller will be responsible for the settlement of the balance forthwith no later than seven (7) days from the date of the Auction.
12.2 In the event of non-payment wholly or in part of the Purchase Price by the Buyer, RM shall send the Seller written notification [by e-mail and/or fax]. In this event, RM may, at its sole discretion, take the most suitable measures to recover said amount, by enforced collection if necessary, without the need for prior consultation with the Seller. RM shall in any case be under no obligation in this regard, being at liberty to choose whether or not to take the measures in question. As for the arrangements, which RM shall decide, also at its sole discretion, whether in consultation with the Seller or otherwise, its duty of notification still applies as set forth above. RM shall inform the Seller in a timely fashion, even if only by telephone, of any action in this respect [or its decision to take no action]. The Seller, within seven (7) days of said written notification from RM, may indicate in writing any measures to be taken. Given their non-obligatory nature, RM shall be at liberty to adopt, wholly or in part, modify or disregard same within said time, informing the Vendor accordingly, as set forth above, if necessary only by telephone.
12.3 If the Purchase Price has not been received in full by RM within the time stipulated in Condition 12.1, notwithstanding RM’s right to grant extended payment terms – to be agreed from time to time at its sole discretion with the Buyer – and notwithstanding that set forth in Condition 12.2 above, RM shall pay the proceeds due to the Seller by and no later than five (5) working days from the effective date of receipt of the Purchase Price from the Buyer.
12.4 In addition to the abovementioned case of default by the Buyer, even partial, of the purchase price, at its sole option RM always reserves the right to:
• apply the default interest pursuant to Art. 5 D. Legislative Decree No. 231/02 on the total amount due and unpaid after the date referred in Condition 15.1;
• collect, hold in custody (or elsewhere on the premises of RM) and secure the Lot at Buyer’s sole cost and expense;
• Reject or ignore the payment of a deposit or any offer on behalf of a Buyer banned from any future auction at RM;
12.5 Any monies collected and appropriated by RM following the actions indicated above may accrue to same wholly or in part for reimbursement of:
• legal costs or other out-of-pocket expenses paid by RM in order to commence legal proceedings;
• sundry expenses;
• Buyer’s Premium and Vendor’s Commission.
Any residual amount shall be paid by RM to the Vendor in accordance with the terms and conditions set forth in Condition 12.1 above.
13. WITHDRAWAL FEES
13.1 The Lot(s) may not be withdrawn by the Seller. If the Seller has to withdraw the Lot, then the Seller shall pay RM 22% of the estimated value of the Lot. For the purposes of said calculations, the estimated value, plus statutory VAT and any and all expenses incurred by RM, shall be considered as the higher of:
• the values communicated/indicated by the Seller as previously notified to RM, or alternatively
• the values indicated in the Catalogue prior to its circulation.
GENERALITÀ
Le seguenti condizioni (“Condizioni”) insieme ad altri termini, condizioni e avvisi così come esposti in ogni relativo catalogo, sono valide per tutte le vendite all’asta da parte di RM o per qualsiasi vendita al dettaglio. È intenzione di RM far sì che i termini tra RM, il Compratore e il Venditore siano contenuti all’interno delle Condizioni.
Nessuna alterazione alle Condizioni sarà vincolante a meno che non sia accettata in forma scritta da RM. Le Condizioni sono soggette a rettifiche da parte di RM, purché ritenute ragionevoli, con invio di avvisi o annuncio orale del banditore prima o durante la vendita. Le Condizioni non incidono in alcun modo sui diritti legali di un consumatore.
1. DEFINIZIONI
Devono intendersi per:
1.1 Asta: il procedimento di compravendita, noto anche come Incanto inerente il/i Lotto/i di cui al presente catalogo;
1.2 Scheda/documento d’iscrizione: i documenti forniti dal Venditore in riferimento al/ai Lotto/i messi all’Asta;
1.3 Banditore: il rappresentante di RM che conduce l’Asta;
1.4 Compratore: il soggetto Aggiudicatario del/dei Lotto/i messo/i all’Asta;
1.5 Catalogo: l’insieme degli annunci, brochure, stime, listini o altra pubblicazione riferentesi al/ai Lotto/i messi all’Asta;
1.6 Spese: i costi vivi, comprensivi di IVA se dovuta ex lege, inerenti alla vendita di qualsiasi Lotto come sostenuti da RM, comprese quelle per assicurazioni varie, custodia, deposito, illustrazioni, catalogo, pubblicità, imballaggio e trasporto speciali del/dei Lotto/i messo/i all’Asta;
1.7 Prezzo di Aggiudicazione: il Prezzo nella valuta utilizzata durante l’Asta a cui il Banditore aggiudica un Lotto al Compratore;
1.8 Lotto: qualsiasi articolo e/o bene messo all’Asta, ivi compreso/o quello/i appartenenti al genus autoveicoli;
1.9 Commissione d’Asta: la somma che il Compratore pagherà a RM, pari al 12% del Prezzo di Aggiudicazione più IVA in riferimento aia Lotti di vetture, ovvero pari al 17% in riferimento a tutti gli altri Lotti, oltre alle spese e costi aggiuntivi anticipate da RM nell’interesse del Compratore e a qualsiasi altra somma dovuta dal Compratore e a RM;
1.10 Prezzo d’acquisto: il Prezzo di Aggiudicazione comprensivo di IVA, nonché di Commissione d’Asta, spese e costi aggiuntivi anticipate complessivamente da RM, dovuto da qualsiasi Compratore;
1.11 Prezzo di Riserva: il Prezzo di Aggiudicazione minimo concordato tra RM e Venditore al quale un Lotto può essere venduto.
1.12 RM: RM AUCTIONS ITALIA S.r.l., sedente in MILANO (MI), Via Conservatorio n. 6, Codice fiscale e numero d’iscrizione C.d.C. MILANO: 02863930984
1.13 Ricavo della vendita: la somma netta dovuta al Venditore dato dal Prezzo di Aggiudicazione meno la Commissione del Venditore, I’IVA, le Spese e costi aggiuntivi anticipate/i complessivamente da RM e qualsiasi altra somma dovuta dal Venditore a RM;
1.14 Venditore: è la persona che offre il Lotto per la vendita, conferente a RM mandato a tal fine senza rappresentanza;
1.15 Commissione del Venditore: la somma che il Venditore pagherà a RM, pari al 10% del Prezzo di Aggiudicazione più IVA in riferimento ai Lotti di vetture, ovvero pari al 15% in riferimento a tutti gli altri Lotti, oltre alle spese e costi aggiuntivi anticipate complessivamente da RM diverse ed ultronee rispetto a quelle a carico del Compratore, e a qualsiasi altra somma dovuta dal Venditore a RM;
1.16 IVA: l’Imposta sul Valore Aggiunto;
1.17 Valore di Stima del Lotto su catalogo: valutazione del Lotto messo all’Asta. La valutazione può essere seguita da indicazioni quali p.b. (Prezzo base, ossia Prezzo minimo) o m.o. (maggior offerente, ossia Lotto vendibile al maggior offerente, senza Prezzo minimo di partenza o riserva). Le descrizioni riportate rappresentano un’opinione e sono puramente indicative e non implicano pertanto alcuna responsabilità da parte di RM;
1.18 Aggiudicazione: procedimento di assegnazione del Lotto messo all’Incanto a favore di soggetto al medesimo partecipante, fatte salve le contestuali/successive modalità previste e disciplinate nelle presenti condizioni di trasferimento del relativo possesso e diritto reale di proprietà;
1.19 Normativa di riferimento: Legge Italiana.
2. QUALIFICAZIONE NEGOZIALE DI RM, DEL VENDITORE E DEL COMPRATORE
2.1 Per ciascun Lotto presente in Asta il Venditore ha nominato sua mandataria senza rappresentanza RM, la quale ha accettato l’incarico affidatole, incaricandola di cedere e vendere in suo nome, conto ed interesse, secondo le modalità, a chi e per il Prezzo come disciplinati nel contratto di mandato tra le medesime parti perfezionatosi. Quanto sopra senza assunzione di altra responsabilità da parte di RM oltre a quelle derivanti dal mandato de quo ricevuto.
3. QUALIFICAZIONE LOTTO/I E PARTI
3.1 Il/i bene/i Lotto/i tutti oggetto della presente Asta sono da considerarsi come beni usati forniti come pezzi di antiquariato e come tali non qualificabili come prodotto secondo la definizione di cui all’art. 3 lettera e) del Codice del consumo (Decreto Legislativo 6.9.2005, n. 206), con tutte le conseguenze ex lege ed ex contractu.
3.2 Analogamente le parti non appartengono al genus “consumatore”, con tutte le conseguenze ex lege ed ex contractu.
4. ESENZIONE DI RESPONSABILITA’ DI RM
4.1 RM è esente da qualsivoglia responsabilità in caso di infortunio, danni o perdite subiti da chiunque si trovi d’interno dei locali deputati alla esposizione dei Lotti messi all’Asta e all’Incanto medesimo.
4.2 RM non è altresì responsabile nei confronti del Venditore e del Compratore in caso di danno, perimento, perdita, e/o sottrazione -anche parziali-del Lotto a meno che gli eventi de quibus siano da ascriversi a colpa grave e/o dolo della medesima e/o di propri dipendenti. Analogamente RM non è inoltre responsabile nei confronti del Venditore e del Compratore di qualsivoglia danno alle persone dovesse derivare dal Lotto, a meno che gli eventi de quibus siano da ascriversi a colpa grave e/o dolo della medesima e/o di propri dipendenti.
4.3 In ogni caso il Venditore terrà RM integralmente manlevata ed indenne da qualsivoglia richiesta risarcitoria, anche giudiziaria, dovesse pervenirle dal Compratore in relazione alle fattispecie sopra contemplate [vale a dire in caso di danno, perimento, perdita, e/o sottrazione -anche parziali-del Lotto e di danno/i alla/e persona/e], fatti salvi i diritti tutti di RM di agire poi contro il medesimo per la ristorazione integrale dei danni tutti alla medesima derivatine. In caso di danno, perimento, perdita, e/o sottrazione -anche parzialidel/i Lotto/i di qualsiasi natura e specie e da chiunque provocati, il Venditore dovrà provvedere immediatamente al ripristino dello/gli stesso/i e con oneri totalmente a suo carico.
4.4 Salvo che non sia diversamente pattuito tra il Venditore ed RM, RM non si assume altresì nessuna obbligazione di custodia in relazione al/i Lotto/i messi all’Asta, con tutte le conseguenza ex lege ed ex contractu.
5. MODALITA’ D’ASTA
5.1 L’Asta sarà preceduta da un esposizione, durante la quale il Banditore e/o altri incaricati di RM all’uopo delegati saranno a disposizione per ogni chiarimento; l’esposizione ha lo scopo di far esaminare lo stato di conservazione e la qualità dei Lotti, nonché di chiarire eventuali errori ed inesattezze riportate in catalogo. Tutti i Lotti vengono venduti “come visti.”
5.2 Tutti i partecipanti all’Asta sono tenuti a registrarsi, previa presentazione di un documento di identità personale; nessuno inoltre avrà il diritto di fare offerte all’Asta senza prima aver compilato per intero e consegnato a RM un modulo e/o documento di iscrizione opportunamente sottoscritto, avendo cura di leggere le “Informazioni per gli acquirenti” indicate nel catalogo d’Asta. La partecipazione all’Asta è personale. L’eventuale partecipazione in nome e per conto di terzi dovrà essere preventivamente ed espressamente autorizzata in forma scritta da RM, che avrà facoltà di richiedere il previo deposito di una procura autenticata e di adeguate referenze bancarie o di altro genere.
5.3 Il Banditore, conduce l’Asta partendo dall’offerta che considera adeguata in funzione del Lotto e delle offerte concorrenti. Tutti i Lotti saranno venduti senza Prezzo di Riserva, a meno che questo non sia stato approvato per iscritto da RM prima della celebrazione dell’Asta nei termini previsti nella sopraestesa condizione n. 7. Il Banditore può fare autonome offerte nell’interesse del Venditore fino al raggiungimento dell’eventuale Prezzo di riserva concordato con il Venditore, come preventivamente nei termini detti approvato da RM. RM, nella persona del Banditore, ha il diritto, a proprio esclusivo ed insindacabile giudizio di:
• rifiutare qualsiasi offerta di potenziali compratori;
• di dividere un Lotto come più ritiene opportuno anche solo da un punto di vista commerciale;
• di combinare e/o riunire due o più Lotti;
• di ritirare un Lotto qualora le offerte in Asta non raggiungano l’eventuale Prezzo di riserva concordato con il Venditore;
• in caso di disputa, di rimettere il Lotto in Asta nella seduta stessa sulla base dell’ultima offerta raccolta, nonché di variare l’ordine di vendita originariamente programmato.
Il tutto con promessa di rato e valido a cura del Venditore.
LE CONDIZIONI DEL VENDITORE
6. GARANZIE E OBBLIGAZIONI DEL VENDITORE
6.1 Il Venditore ha garantito ad RM alla stipula del mandato conferitole e garantisce altresì al Compratore che:
6.1.1 ha pieno titolo per la messa in vendita del/i proprio/i Lotto/i e che quest’ultimo è privo di vincoli, pesi, privilegi, iscrizioni pregiudizievoli e/o similari a favore di terzi;
6.1.2 il/i Lotto/i non è/sono oggetto di rivendicazione da parte del governo o di autorità statali o locali;
6.1.3 sono stati soddisfatti tutti i requisiti, procedure, formalità relativi all’esportazione ed importazione del proprio Lotto nel pieno rispetto della normativa di riferimento;
6.1.4 l’autenticità, la provenienza, l’origine, le condizioni, lo stato e le qualità del/i Lotto/i sono quelle di cui ai documenti giustificativi la provenienza del proprio diritto di proprietà e/o altro proprio diritto sul/i Lotto/i in oggetto e che si trova nello stato di fatto e di diritto ivi dettagliati così come il Venditore lo possiede ed ha diritto di possederlo, sapendo che i dati forniti de quibus sono stati pubblicati nel Catalogo d’Asta;
6.1.5 il Lotto/autoveicolo è per la precisione altresì corredato di tutti i documenti, certificazioni e attestazione varie atti a legittimarne il corretto utilizzo su strada nel rispetto della normativa di riferimento, nonché di quella del Paese della relativa immatricolazione e del Paese del Compratore (se coi primi non coincidente), oppure atti a sancirne il divieto di utilizzo su strada;
6.1.6 pendente il presente contratto a non concludere con società terze alcun tipo di negozio avente per oggetto il/i Lotto/i oggetto del mandato conferito a RM prima della celebrazione della presente Asta.
6.2 In caso di ritardata, difforme e/o mancata osservanza delle obbligazioni sopra descritte il Venditore sarà tenuta al pagamento di una somma a titolo di penale come disciplinata nel contratto di mandato in essere con RM. Ad RM è inoltre fatta salva la facoltà di chiedere il risarcimento del danno ulteriore eventualmente subito. Il Venditore inoltre provvederà a risarcire integralmente anche al Compratore tutti i danni dal medesimo patiti e patiendi in conseguenza delle proprie inottemperanze negoziali, altresì tenendo RM manlevata ed indenne da qualsivoglia pretesa risarcitoria dallo stesso dovesse pervenirle. Quanto sopra fatti salvi i diritti e facoltà tutti/e di RM, sia negoziali che ex lege. Il Compratore rinuncia comunque in qualunque caso ed accezione ad avanzare richieste risarcitorie di sorta a RM.
6.3 Nella eventualità che l’inosservanza delle obbligazioni sopradescritte si traduca in difformità di ordine materiale e/o comunque in vizi redibitori e/o mancanza di qualità essenziali è nella libera discrezionalità di RM, prima o anche dopo la messa in vendita del Lotto, quella di far eseguire sullo stesso i lavori atti a ripristinarne lo stato e la qualità come originariamente garantiti dal Venditore, detraendo i relativi costi di tali lavori alla somma dovuta al Venditore, a cui per l’effetto verrà rigirata la mera differenza tra il Ricavo della vendita originariamente spettantigli ed i costi in oggetto.
7. PREZZI DI RISERVA
7.1 Il Venditore può applicare un Prezzo di riserva su qualsiasi Lotto prima dell’Asta. L’indicazione a cura del Venditore di tale eventuale Prezzo di Riserva dovrà comunque essere a pena di invalidità formalizzata per iscritto a RM. Sempre sotto pena di invalidità il Prezzo de quo dovrà essere accettato da RM. Analogamente qualsivoglia modifica del Prezzo di specie dovrà essere formalizzata ed accettata da RM secondo le appena indicate modalità, anche di ordine temporale, pena l’improduttività di effetti della medesima.
7.2 Tutti i Lotti saranno pertanto venduti senza un Prezzo di riserva a meno che questo non sia stato formalizzato ed accettato da RM, secondo le appena indicate modalità, anche di ordine temporale.
7.3 RM si riserva la facoltà a proprio insindacabile giudizio di vendere un Lotto ad un Prezzo più basso del Prezzo di Riserva come sopra formalizzato e dalla medesima accettato, ma dovrà in tale caso corrispondere al Venditore una somma comunque pari al Prezzo di riserva di specie.
7.4 Qualora su un Lotto non sia stato fissato Prezzo di riserva, RM non è responsabile della intervenuta vendita a terzo/i ad un Prezzo inferiore al più basso valore stimato in Catalogo.
7.5 Qualora su un Lotto non sia stato fissato Prezzo di Riserva, il Venditore non può fare offerte d’acquisto personalmente ovvero tramite un soggetto terzo all’uopo incaricato/delegato. Qualora invece sia stato fissato un Prezzo di Riserva secondo le appena indicate modalità, anche di ordine temporale, solo RM potrà fare offerte d’acquisto in nome e per conto del Venditore. In tal caso il Banditore potrà aggiudicare il Lotto al Venditore senza osservare il Prezzo di Riserva, ma il Venditore pagherà comunque a RM tutti gli emolumenti alla medesima spettanti, quali la Commissione del Venditore, la Commissione d’Asta ed ogni altra eventuale spesa dalla medesima sostenuta.
8. COMMISSIONI E SPESE
8.1 Se non diversamente e per iscritto pattuito l’Aggiudicatario è tenuto a corrispondere a RM una Commissione d’Asta per ciascun Lotto, pari al 12% del Prezzo di Aggiudicazione più IVA in riferimento ai Lotti di vetture, ovvero pari al 17% più IVA in riferimento a tutti gli altri Lotti, oltre alle spese e costi aggiuntivi anticipate da RM nell’interesse del Compratore e a qualsiasi altra somma dovuta dal Compratore e a RM.
8.2 RM dà atto all’Aggiudicatario che il Venditore ha riconosciuto alla medesima il diritto di dedurre dal Prezzo di Aggiudicazione e trattenere immediatamente anche la Commissione del Venditore [pari al 10% del Prezzo di Aggiudicazione più IVA in riferimento ai Lotti di vetture, ovvero pari al 15% più IVA in riferimento a tutti gli altri Lotti, oltre alle spese e costi aggiuntivi anticipate complessivamente da RM diverse ed ultronee rispetto a quelle a carico del Compratore, e a qualsiasi altra somma dovuta dal Venditore a RM]. La Commissione de qua trova puntuale e completa regolamentazione nel mandato rilasciato dal Venditore a RM.
8.3 Il Venditore riconosce ad RM il diritto di percepire anche la Commissione d’Asta corrisposta dal Compratore e conseguentemente di incamerarla direttamente dal medesimo, senza che il medesimo in relazione all’importo de quo possa vantare diritto e/o pretesa alcuna.
8.4 Eventuali debiti del Venditore nei confronti di RM possono essere estinti in tutto o in parte da RM, a sua insindacabile scelta, incamerando e/o trattenendo integralmente o parzialmente il Prezzo d’acquisto del Lotto di riferimento.
9. IMMAGINI - FOTOGRAFIE- VIDEO O DIGITALI
9.1 RM non si assume responsabilità in merito alla conformità e rispondenza dei Lotti alle riproduzioni fotografiche comunque mostrate nel catalogo d’Asta così come in brochures e qualsivoglia altro materiale illustrativo, le quali si intendono puramente rappresentative.
9.2 Durante lo svolgimento dell’Asta potranno essere mostrate immagini digitali dei Lotti; RM non si assume la responsabilità di eventuali inesattezze, difformità o errori connessi alla loro riproduzione.
9.3 Il copyright di tutte le fotografie e di tutte le illustrazioni di ciascun Lotto fatte da o per conto di RM rimarranno di proprietà esclusiva di RM.
10. STIME E DESCRIZIONI DI RM
10.1 RM inoltre, agendo in qualità di mandataria senza rappresentanza del/i Venditore/i, declina ogni responsabilità in ordine alla descrizione dei beni contenuta nel presente catalogo d’Asta, così come in brochures e qualsivoglia altro materiale illustrativo. Le descrizioni o illustrazioni dei beni contenute nel presente e/o altri cataloghi, in brochures e in qualsiasi altro materiale illustrativo hanno comunque carattere meramente indicativo e non potranno generare alcun affidamento da parte dell’Aggiudicatario.
10.2 RM non è conseguentemente ed in particolare responsabile nei confronti del Venditore ed anche del Compratore per errori, formulazioni errate o omissioni nella descrizione di qualsiasi Lotto nel presente catalogo d’Asta così come in brochures e qualsivoglia altro materiale illustrativo.
10.3 RM in ogni caso ed accezione non ha alcuna obbligazione tanto nei confronti del Venditore che nei confronti del Compratore di verificare l’esattezza della descrizione da e per conto del Venditore.
11. LOTTO INVENDUTO- RIMOZIONE
11.1 Nell’eventualità che un Lotto non venisse venduto, RM a proprio insindacabile giudizio potrà rimetterlo in vendita mediante trattative private entro 30 giorni dalla data di celebrazione dell’Asta negativa/ deserta. Se in tale fattispecie il Lotto venisse poi venduto RM corrisponderà al Venditore una somma non inferiore a quella dovuta nel caso in cui il Lotto fosse stato venduto al Prezzo di Riserva nell’ambito dell’Asta negativa/deserta. Alla vendita de qua a mezzo di trattative private, si applicheranno tutte le disposizioni racchiuse nelle presenti condizioni, avuto precipuo riguardo agli emolumenti tutti spettanti a RM, per l’effetto dovuti e debendi come se la vendita a terzi fosse intervenuta a mezzo di Incanto.
11.2 Al di fuori della fattispecie di cui alla sopraestesa condizione n. 11.1, il Venditore si occuperà della rimozione di qualsiasi proprio Lotto non venduto entro le ore 13 del giorno seguente alla chiusura dell’Asta, o in un altro orario espressamente concordato con RM.
11.3 Il mancato recupero di un Lotto non venduto, in base alla sopraestesa condizione n. 11.1, autorizzerà RM ad addebitare al Venditore tutte le Spese di rimozione, deposito, eventuale custodia, assicurazione o similari comunque sostenute dalla medesima in relazione al Lotto invenduto. Quanto sopra fatti salvi gli ultronei diritti e/o facoltà tutti/e di RM, sia ex contractu che ex lege.
11.4 Se entro 35 giorni dalla data di chiusura dell’Asta, il Venditore non dovesse dare istruzioni a RM riguardo l’alienazione del Lotto non venduto, RM avrà il diritto esclusivo di vendere il Lotto de quo mediante:
• trattative private, deducendo dal Prezzo di vendita qualsiasi somma a se dovuta per le causali succiate, oppure
• Asta senza Prezzo di riserva, deducendo dal Prezzo di Aggiudicazione qualsiasi somma a se dovuta per le causali succinate.
12. PAGAMENTO AL VENDITORE
12.1 RM pagherà al Venditore il Ricavo della vendita al medesimo spettante entro e non oltre 35 giorni dalla data di chiusura dell’Asta, a condizione che il Prezzo d’acquisto sia stato ricevuto per intero da RM. A meno che non sia stato accordato per iscritto tra le parti una modalità alternativa, il pagamento del Ricavo del quo al Venditore verrà effettuato mediante bonifico bancario con aggravio delle relative spese vive in capo al Venditore. Nel caso in cui sul Lotto aggiudicato gravino finanziamento/i per acquisti rateali, pesi, privilegi, diritto/o di prelazione e/o altre addebiti di altra natura RM si riserva il diritto di stabilire la somma dovuta in forza dei medesimi che complessivamente non superi il Ricavo della vendita, che per l’effetto andrà dal medesimo decurtata; se il Ricavo de quo fosse poi inferiore alla prima il Venditore sarà responsabile del saldo immediato della differenza da effettuarsi entro e non oltre 7 giorni dal asta.
12.2 In caso di mancato pagamento, anche solo parziale, del Prezzo d’acquisto a cura dell’Aggiudicatario, RM ne darà comunicazione scritta [anche a mezzo fax e/o e.mail] al Venditore. In tale eventualità RM a proprio insindacabile giudizio potrà porre in essere le misure più opportune atte ad un recupero, se del caso coattivo, della somma di specie, senza necessità di preventiva consultazione con il Venditore. RM comunque non ha alcuna obbligazione a tal titolo, essendo una sua libera scelta, quella eventuale di porre in essere le misure de quibus. Quanto alle modalità, a sua scelta, analogamente insindacabile, quella di concertarle o meno con il Venditore, ferma l’obbligazione della medesima di informativa come sopra disciplinata. Di ogni iniziativa al riguardo comunque [così come della decisione di non intraprenderne alcuna] RM darà tempestiva comunicazione, anche solo telefonica, al Venditore. Il Venditore inoltre nei 7 giorni successivi alla comunicazione scritta succitata di RM potrà per iscritto indicare a quest’ultima le iniziative da intraprendere. Stante la non obbligatorietà delle medesime, nei termini detti, RM sarà poi libera di seguirle -anche solo parzialmente-, modificarle, disattenderle dando al Venditore comunicazione ad hoc, come detto, anche solo telefonica.
12.3 Se il Prezzo d’acquisto non venisse ricevuto per intero da RM entro il periodo di tempo specificato nella Condizione n. 12.1, fatta salva la facoltà in capo a RM di concessione di pagamento dilazionato -da concertarsi si volta in volta a propria insindacabile scelta con l’Aggiudicatario-, fatto altresì salvo quanto regolamentato nella sopraestesa condizione n.12.2, RM pagherà il Ricavo spettante al Venditore entro e non oltre i 5 giorni lavorativi a partire dalla effettiva data di ricezione del Prezzo d’acquisto a cura del Compratore.
12.4 In aggiunta a quanto sopra indicato in caso di mancato pagamento anche parziale a cura del Compratore del Prezzo di acquisto, RM sempre a sua insindacabile scelta si riserva altresì di:
• applicare gli interessi di mora ex art. 5 D. Lgs. n. 231/02 sulla somma totale dovuta rimasta insoluta dopo la data e I’ora cui si fa riferimento nella sottoestesa condizione n. 15.1;
• ritirare, tenere in custodia (nei locali di RM o altrove) e assicurare il Lotto a spese esclusive del Compratore;
• rifiutare o ignorare ovvero subordinare al pagamento di una cauzione qualsiasi offerta/e fatta/e da o per conto del Compratore in ogni Asta futura bandita da RM;
12.5 Qualsiasi somma di denaro dovesse risultare recuperata ed incamerata da RM in seguito alla promozione a sua cura delle attività come appena disciplinate, potrà essere dalla medesima in tutto o in parte definitivamente trattenuta a rifusione di:
• spese legali o altri costi vivi eventualmente anticipati per avvio e celebrazione di procedura stragiudiziali/giudiziarie;
• Spese varie;
• Commissione d’Asta e Commissione del Venditore.
L’eventuale somma residuale verrà poi pagata da RM al Venditore secondo le modalità di cui alla sopraestesa condizione n. 12.1;
13. QUOTE DI RITIRO
13.1 RM da atto che il Venditore non ha facoltà di ritirare il/i proprio/i Lotto/i dall’Asta. Se il Venditore dovesse ritirare il Lotto, dovrà pagare a RM il 22% del valore di stima del Lotto Ai fini dei calcoli de quibus si considererà come valore di stima, da aggravarsi di IVA ex lege e delle spese tutte sostenute da RM, quello più alto:
• tra i valori comunicati/indicati dal Venditore come in precedenza segnalati a RM, ovvero in subordine
• tra i valori indicati nel Catalogo stampato ma non ancora diffuso.
